PLEASE READ THESE TERMS OF USE ("TERMS") CAREFULLY BEFORE USING THIS WEBSITE OR APPLICATION. BY ACCESSING OR USING THE NOUS MEETING WEBSITE OR APPLICATION, INCLUDING ALL SUBPAGES ("NOUS MEETING"), YOU FULLY UNDERSTAND, ACKNOWLEDGE, AND AGREE TO BE BOUND BY THESE TERMS.

I. USE OF NOUS MEETING

A. Lawful Use

You agree to use Nous Meeting only for lawful purposes and are responsible for understanding and complying with all applicable laws, regulations, and rules. By accessing or using Nous Meeting, you agree not to:

  • Use Nous Meeting for any criminal activity
  • Engage in actions that may result in civil liability
  • Impersonate any person, entity, or organization
  • Upload, transmit, or introduce any viruses, Trojan horses, or other harmful code that may damage or disrupt Nous Meeting or its users' systems
  • Upload, post, email, or otherwise transmit content you are not legally authorized to share
  • Modify, delete, or damage any content posted on Nous Meeting
  • Disrupt or interfere with Nous Meeting, its servers, or its networks
  • Falsely claim affiliation with any business, organization, or entity without proper authorization

B. Account Suspension

Nous Meeting reserves the right to suspend any account or restrict access if it has reasonable grounds to believe the account is being used for prohibited activities as outlined above. If contact information is provided (such as an email or physical address), a notice of suspension will be sent to one of the addresses on file.

II. PASSWORDS AND ACCOUNT SECURITY

A. Account Security

You are responsible for maintaining the confidentiality of your Nous Meeting account password and any related login information.

B. Accountability

You accept full responsibility for all actions taken under your account.

C. Unauthorized Use

If you suspect or become aware of any unauthorized use of your account, you must immediately notify Nous Meeting via the "Forgot Password" page or by email.

D. Account Suspension for Violation

Nous Meeting reserves the right to suspend your account if it is determined that your account has been used in violation of these Terms.

III. USER-PROVIDED INFORMATION

To access certain features of Nous Meeting, you may need to provide personal information. You agree that all information you provide to Nous Meeting is accurate, truthful, and current. For details on how Nous Meeting handles your information, please refer to our Privacy Policy.

IV. RECORDING FEATURES AND LEGAL COMPLIANCE

CRITICAL: YOU ARE SOLELY RESPONSIBLE FOR RECORDING COMPLIANCE

BY USING NOUS MEETING'S RECORDING FEATURES, YOU ACKNOWLEDGE AND AGREE THAT YOU, NOT NOUS MEETING, ARE SOLELY AND EXCLUSIVELY RESPONSIBLE FOR COMPLYING WITH ALL APPLICABLE FEDERAL, STATE, LOCAL, AND INTERNATIONAL RECORDING, WIRETAPPING, SURVEILLANCE, AND DATA PROTECTION LAWS. NOUS MEETING IS A TECHNOLOGY SERVICE PROVIDER ONLY AND BEARS ABSOLUTELY NO RESPONSIBILITY FOR YOUR LEGAL COMPLIANCE OR NON-COMPLIANCE.

A. Nous Meeting's Role as Technology Provider

a) Limited Role:

Nous Meeting provides software technology that enables users to record, transcribe, and analyze meetings. We act solely as a technology service provider and do not provide legal advice, legal compliance services, or legal guidance of any kind.

b) No Monitoring or Verification:

Nous Meeting does not and cannot monitor whether you comply with applicable recording laws, obtain required consents, provide adequate notice, or otherwise use recording features lawfully. We do not verify participant consent, determine applicable laws for your meetings, or ensure your compliance with any legal requirements.

c) Your Acknowledgment:

You acknowledge that Nous Meeting makes no representations, warranties, or guarantees regarding the legality of recording in any jurisdiction or circumstance. You are solely responsible for ensuring that your use of recording features complies with all applicable laws.

B. Your Exclusive Responsibility for Legal Compliance

As the user, account holder, meeting host, or person initiating a recording, you are solely, completely, and exclusively responsible for:

  • Determining all applicable recording, wiretapping, and surveillance laws in all jurisdictions where you and your participants are located
  • Understanding whether you are in a one-party consent or all-party consent jurisdiction
  • Identifying the location of all meeting participants and determining which laws apply
  • Providing clear, conspicuous, and legally adequate notice to all participants that recording will occur
  • Obtaining all necessary consents as required by applicable federal, state, local, and international laws
  • Documenting and maintaining records of all consents obtained
  • Allowing participants who do not consent to decline participation or leave meetings
  • Complying with all applicable data protection laws (GDPR, CCPA, PIPEDA, HIPAA, FERPA, etc.)
  • Securing recorded content against unauthorized access or disclosure
  • Implementing appropriate data retention and deletion practices
  • Responding to participant requests regarding access to, correction of, or deletion of recordings
  • Accepting all legal, financial, criminal, and civil consequences of any violations of recording laws

C. Recording Laws - Your Obligation to Research and Comply

1. U.S. Federal Law

The Electronic Communications Privacy Act or Federal Wiretap Act makes it a federal crime to intercept or record wire, oral, or electronic communications without the consent of at least one party. You must ensure compliance with this federal law at a minimum, but stricter state or international laws may also apply.

2. U.S. State Laws - All-Party Consent States

CRITICAL: The following states require consent from ALL parties before recording:

California, Connecticut, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Pennsylvania, and Washington

If you or ANY participant is in one of these states, you MUST obtain explicit consent from ALL participants before recording. Failure to comply is a criminal offense that can result in imprisonment, substantial fines, and civil liability. YOU ARE SOLELY RESPONSIBLE for determining applicable state laws and ensuring compliance.

3. International Laws

If any participant is located outside the United States, you must research and comply with all applicable international laws, including but not limited to GDPR (EU/EEA), UK GDPR, PIPEDA (Canada), and other national data protection laws. These laws often impose stricter requirements than U.S. law. YOU ARE SOLELY RESPONSIBLE for determining and complying with all international legal requirements.

D. Prohibited Uses of Recording Features

You are strictly prohibited from using recording features to:

  • Record without required legal notice and consent
  • Violate any person's privacy rights or reasonable expectation of privacy
  • Engage in illegal surveillance, wiretapping, stalking, or harassment
  • Record for blackmail, extortion, or other criminal purposes
  • Violate intellectual property rights, confidentiality agreements, or attorney-client privilege
  • Record minors without proper parental or guardian consent
  • Create deepfakes or manipulated content from recordings

E. Consequences of Recording Law Violations

WARNING: Violating recording laws can result in severe consequences for which YOU bear sole responsibility:

  • Criminal prosecution, imprisonment, and substantial fines
  • Civil lawsuits for statutory and actual damages (including treble damages in some states)
  • Attorney's fees and court costs
  • Exclusion of recordings as evidence in legal proceedings
  • Professional discipline and employment termination
  • Additional penalties under industry-specific regulations (HIPAA, FERPA, etc.)

F. Account Termination for Recording Violations

Nous Meeting reserves the right to suspend or terminate accounts, disable recording features, delete recordings, and report suspected illegal recording activity to law enforcement authorities. If we become aware of potential violations of recording laws, we may take immediate action with or without prior notice. However, any such enforcement actions do not diminish or eliminate your sole responsibility for legal compliance.

G. Comprehensive Disclaimer of Liability for Recording

RECORDING LIABILITY DISCLAIMER

NOUS MEETING, NEXT GENERATION INNOVATION L.L.C., AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, "NOUS MEETING PARTIES") EXPRESSLY DISCLAIM ALL LIABILITY FOR:

  • Your violations of any recording, wiretapping, surveillance, or privacy laws
  • Your violations of data protection regulations
  • Any criminal prosecution, civil lawsuits, or regulatory actions arising from your recording activities
  • Any damages, penalties, fines, or fees you incur due to recording violations
  • Any claims by meeting participants or third parties related to unauthorized recording
  • Any other consequences arising from your use or misuse of recording features

NOUS MEETING MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE LEGALITY OF RECORDING IN ANY JURISDICTION. YOU ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR DETERMINING APPLICABLE LAWS AND ENSURING COMPLIANCE.

H. Indemnification for Recording-Related Claims

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS THE NOUS MEETING PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES AND COURT COSTS) ARISING FROM OR RELATED TO:

  • Your use or misuse of recording features
  • Your violations of any recording, privacy, or data protection laws
  • Your failure to obtain required consents or provide required notices
  • Any third-party claims related to your recording activities
  • Any other conduct related to your use of Nous Meeting's recording technology

This indemnification obligation survives termination of your account and continues in perpetuity for any recording-related claims.

I. Cross-Reference to Privacy Policy

Additional details regarding recording, consent requirements, data storage, and privacy protections are provided in our Privacy Policy. The recording-related provisions in the Privacy Policy are incorporated into these Terms by reference. You must comply with all recording requirements set forth in both these Terms and our Privacy Policy.

V. INTELLECTUAL PROPERTY RIGHTS

A. Ownership

Nous Meeting respects intellectual property rights and expects users to do the same. Service marks, trademarks, and content from third-party linked sites belong to their respective owners (which may include Nous Meeting). All other elements of Nous Meeting, including design, text, graphics, images, interfaces, software, and their arrangement, are owned by Nous Meeting (a property of Next Generation Innovation, L.L.C.). All rights are reserved.

B. Copyright Infringement (DMCA Takedown)

If you believe your copyrighted work has been unlawfully copied on Nous Meeting, you may file a DMCA notice with our designated agent by providing the following details:

  • An authorized signature of the copyright holder or their representative
  • A description of the copyrighted work that you claim has been infringed
  • The location of the allegedly infringing material on the platform
  • Your contact information (address, phone number, email)
  • A statement that you believe the use is unauthorized
  • A declaration of accuracy and that you are authorized to act on behalf of the copyright owner

C. Counter-Notice

If your content was removed via a DMCA takedown, you may submit a counter-notice to our designated agent with:

  • Your signature
  • A description and former location of the removed material
  • A statement under oath that the removal was due to an error or misidentification
  • Your contact details and consent to jurisdiction (where you reside or in any U.S. district if outside the U.S.), as well as consent to accept legal service from the original complainant

VII. SERVICE DISCLAIMERS AND LIMITATION OF LIABILITY

A. No Warranties

Nous Meeting and its content are provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We make no guarantees regarding the quality, accuracy, completeness, currency, reliability, or uninterrupted service of the platform or its materials. Nous Meeting does not warrant that the service will meet your requirements, that it will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

B. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOUS MEETING, NEXT GENERATION INNOVATION L.L.C., AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES) RESULTING FROM:

  • Your use or inability to use Nous Meeting
  • Unauthorized access to or alteration of your transmissions or data
  • Statements or conduct of any third party on the service
  • Any recording-related violations or claims
  • Any other matter relating to Nous Meeting

This limitation applies even if Nous Meeting has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.

C. Risk of Downloads

Any materials you download from Nous Meeting are at your own risk. You accept full responsibility for any damage to your device, loss of data, or any other harm resulting from such downloads.

D. Changes to Policy

Nous Meeting's Privacy Policy, Terms of Use, and other policies are updated periodically. The information on our platform may not immediately reflect these changes. Your continued use of Nous Meeting after changes are posted constitutes acceptance of the updated terms.

VIII. MISCELLANEOUS TERMS

A. Legal Advice

Nothing in these Terms or on Nous Meeting constitutes legal advice. The information provided regarding recording laws and compliance is for informational purposes only. You must consult with qualified legal counsel licensed in all relevant jurisdictions to ensure compliance with applicable laws.

B. Non-Waiver

If Nous Meeting does not enforce any rights under these Terms, it does not waive those rights. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

C. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be removed or limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

D. Governing Law and Jurisdiction

These Terms and your relationship with Nous Meeting are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any claims, disputes, or controversies arising out of or relating to these Terms or your use of Nous Meeting must be brought exclusively in the state or federal courts located in Brooklyn County, New York, and you consent to the personal jurisdiction of such courts.

E. Modifications

Nous Meeting reserves the right to revise, modify, or update these Terms at any time without prior notice. We will post the updated Terms on this page and update the "Effective Date" at the top. Material changes may be announced through our platform or via email. Your continued use of Nous Meeting after changes are posted constitutes acceptance of the updated Terms.

F. Complete Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Nous Meeting regarding your use of the service and supersede any prior agreements, understandings, or communications.

G. Assignment

You may not assign or transfer these Terms or your rights and obligations hereunder without the prior written consent of Nous Meeting. Nous Meeting may assign these Terms without restriction. Any attempted assignment in violation of this provision is void.

H. Survival

The following provisions shall survive termination of these Terms or your account: Sections IV (Recording Features and Legal Compliance), V (Intellectual Property Rights), VII (Service Disclaimers and Limitation of Liability), and VIII (Miscellaneous Terms), along with any other provisions that by their nature should survive.

FINAL ACKNOWLEDGMENT

  • You are solely responsible for complying with all applicable recording laws
  • Nous Meeting is a technology provider only and bears no responsibility for your legal compliance
  • You will defend, indemnify, and hold harmless Nous Meeting from all recording-related claims
  • You have consulted or will consult with legal counsel to ensure compliance with applicable laws
  • These Terms are governed by New York law and disputes must be brought in Brooklyn County, New York
